General Terms and Conditions

1. Seller

2. General Provisions

These General Terms and Conditions (hereinafter the "Terms") govern the mutual rights and obligations of the contracting parties arising in connection with or on the basis of a purchase agreement concluded between the Seller and the buyer (hereinafter the "Buyer") through the B2B portal at gcg-chem.eu. The Terms apply exclusively to business entities (B2B), not to consumers within the meaning of Section 419 of the Czech Civil Code.

3. Conclusion of the Contract

An inquiry submitted through the portal is non-binding and constitutes an invitation to submit an offer. The purchase agreement is concluded upon written confirmation of the inquiry by the Seller (by email or offer sheet). The Seller reserves the right to decline an inquiry without giving a reason.

4. Prices and Payment Terms

Prices are stated excluding VAT unless explicitly stated otherwise. Valid prices are set individually according to the price list assigned to the customer after registration. The standard invoice due date is 30 days from the issue date, unless otherwise agreed. In the event of late payment, the Seller is entitled to default interest under applicable law.

5. Delivery Terms

Delivery times are indicative and depend on the availability of goods and the agreed method of transport. The standard delivery time is 5–15 business days from order confirmation. Goods are delivered to the Buyer's address or, by agreement, under EXW / DAP terms (Incoterms 2020). The risk of damage to the goods passes to the Buyer upon handover to the first carrier.

6. Packaging

Products are supplied in standard industrial packaging (canisters, drums, IBC containers, bags, big bags) depending on the nature of the product. Specific packaging is specified in the offer or upon request. The minimum order quantity and available package sizes are determined individually per product.

7. Complaints and Defects

The Buyer is obliged to inspect the goods immediately upon receipt. Obvious defects must be claimed no later than 5 business days after delivery, hidden defects within 6 months. Please send complaints in writing to info@gcg-chem.eu, including photo documentation, the delivery note number, and a description of the defect.

8. Liability

The Seller is responsible for the quality of the goods in accordance with the applicable technical data sheets (TDS) and safety data sheets (SDS). The Buyer is responsible for the correct use of the products in accordance with these documents and applicable legal regulations (REACH, CLP, ADR). The Seller is not liable for damages resulting from improper use of the goods.

9. Personal Data Protection

The processing of personal data is governed by the Privacy Policy, which forms an integral part of these Terms.

10. Governing Law and Disputes

The contractual relationship is governed by the laws of the Czech Republic, in particular Act No. 89/2012 Coll., the Civil Code. Any disputes will primarily be resolved amicably; if this is not possible, the competent court in the Czech Republic will decide.

11. Changes to the Terms

The Seller reserves the right to amend the Terms. Registered customers will be informed of changes by email at least 14 days before the new Terms take effect.
